The fundamental difference between employee engagement and information is the former focuses on changing employee behaviour to support the achievement of business objectives. The latter is about providing information to employees about what will change, when and why.

Here are 5 ways you can ensure that your leadership communication approach will achieve those outcomes.

1. The first step is to review the current ways you are communicating with employees and determine whether your leadership communication methods are engagement tools or simply information tools. Whether you're trying to raise debt or equity capital there are still certain unwritten rules that apply that cater to the mentality of today's investor and funding community. Certainly there are scores of private placement memorandum and business plan chop shops that wouldn't know how to properly consult with your company or write a fundable document even if they wanted to but they will gladly take your money to throw together a template and try to pass it off as custom work.

The issue is this, it's not necessarily the consultant, though these fly-by-nights shoulder a large portion of the blame, but the client usually doesn't even have the proper structure in place to attract a funding source even if they had the most incredible PPM and business ever to hit the venture capital marketplace. Here is a simple (very basic) way to evaluate your company to find out if you are properly structured to attract capital. Have a corporate meeting and ask yourselves the following questions: What type of corporate structure do you have and why did you choose that particular structure? Break down your executive infrastructure, where do your individual executives stand in your industry, do the unthinkable, Google everyone's names; are the people running your company real industry players? Are all the basic positions accounted for (president, CFO, controller etc)? Next, look at your advisory board and board of directors. If by some miraculous act of God you actually have these two groups represented in your company, how did you qualify them? Sorry but if you have an attorney on your board because he's, um...well, an attorney, that's not good enough.

You need an industry specific legal guru who not only spells out the intricacies of your business genre's regulation but they must also be actively qualifying potential strategic partnerships as alliances for your company. He should be reaching into his client base and actively picking companies that could enhance your company in distribution or in any other way that will have a profitable outcome for all involved. Each of the members must be serving a similar purpose.

Next, on what criteria are you basing your share price or loan amount? If you don't have a clear cut 'use of proceeds' model, you need one. This and many, many other questions need to be asked before you are actually ready to raise capital and in all reality, until your corporate structure is in place you shouldn't even attempt to write a business plan or a private placement memorandum. If you are serious about setting up your company to attract investors you need a turnaround consultant, you can't do this on your own. There is an entire industry that centers around structuring companies for their first and ongoing capital raise.

Before you blackball your company by prematurely attempting to raise capital, the critical concepts you need to keep in mind are (precisely in this order): corporate structure, infrastructure, advisory board, board of directors, use of proceeds, business plan, private placement memorandum, investor finder, funding. When I received the Novel "Iron Horse Rider" from the Author Adelle "Legs" Laudan I have to admit I was expecting a book about a Biker fighting and causing trouble. You know your Typical Biker Bad Boy Story. What I received was something I was not expecting at all.

The Novel Tells the story of a hardcore biker named Shane, Shane had always kept women at arms length and showed them no emotion, That was until he met Kelly. Try as he might this biker who had always kept to himself could not fight off his feelings for her and soon found himself Married to the Women of his dreams.

After 10 years of Marriage Kelly is taken from Shane in a Tragic accident while they are Ridding. Shane finds everything around him reminds him of Kelly, His home, his shop, even his Clubhouse. His Brother's try to Support and comfort him, but the looks of sorrow in their eyes for him is more then Shane can bare. He soon realizes staying in the world He has Known and loved is not an option. Soon Shane is on his Iron Horse with the wind in his face and no destination! As Shane rides He finds the pain he feels for his loss begin to lessen!

With advice from a Mysterious Biker he keeps running into, Shane finds himself at a Micmac Indian Camp. Shane is welcomed into the Camp by the Tribes Chief and soon finds himself becoming Friends with the Chief's Daughter Tia who has recently lost her Husband! While the two Share their pain they soon begin to feel something for each other. Is it possible for either of them to feel love again while still suffering from such a great loss? A member of Tia's Tribe is taking no chances and tells Shane to stay away from Tia. He soon finds out you never tell a Biker like Shane what to do!

I found the writing in this novel while in no way simplistic was easy to read. I also found the story easy to follow ! Adelle "Legs" Laudan describes and expresses the feelings of Biker Brotherhood perfectly. When She explains Shane's feelings while Riding you can see in your mind where he is and you can almost feel the wind in your Face!

In life we all have our worlds we live in, When something Terrible happens sometimes We cling to what We know. Shane does what He as a true Biker must after such a terrible loss, He goes out and finds not only a new life but a new World to live in for a while.

I have to say I enjoyed the story. It was not what I was expecting or would usually read but I found I could not put the book down. I think some Men who Ride will enjoy this book, While many I feel will find it a little too much of a Romance novel! I do believe almost all Women who has ever ridden a Motorcycle or dated a Man who rode one will love this Novel.

Countries throughout the world use a postal code map in their postal stations. These maps are compiled for each country, state, country, and region and are kept in a centralized location where they are scanned into scanning machines that are used in postal stations throughout the world.

The kinds of scanners that are used for postal stations are often very large. Letters are collected from villages, towns, and small cities and transported to large, centralized distribution centers where the scanners read bar codes that have been placed on envelopes and parcels.

These letters are often more difficult for the scanner to read appropriately and, when it is not possible to discern the number or letter, the machine passes the letter or parcel to a human for review. The individual reviewing the letter will then direct the item to its appropriate distribution point.

People will find a postal station in almost every small town or city. Mail is distributed to, and collected from, the residents of the town. In most cases the mail is collected by services on a daily basis and transferred to the centralized station where it is sorted and shipped to distribution points in other regions.

The main scanning machines that are used in centralized stations are very large. When mail is dumped on the link chain conveyor it moves very quickly through an ever narrowing group of sorters that lead to the main point for scanning. As the mail is scanned, it is then directed to bins for local, national, and international distribution. When hand written letters or numbers cannot be read, the scanner sends the letters to a human who has a small handheld scanner. The code on the letter is scanned with the handheld scanner and the data is transmitted to the main computer. This allows the main scanner to read the numbers and letters when they come through again.

As you progress through your CCNA exam studies, I am sure with repetition you will find this topic becomes easier. So even though it may be a difficult concept and confusing at first, keep at it as no one said getting your Cisco certification would be easy!

Objective In this lab, you will configure static routes between all three routers. This will allow your routers to route packets so that all routers and all hosts will be able to reach (ping) each other. Once your configuration is complete, you will use basic techniques to test your network's connectivity.

So your iPhone 3G is hopelessly stuck in Recovery or Restore and you are about ready to toss it out and start all over. You have searched the Internet for a solution but you keep getting the run around when it comes to tech support. Here is some help on how to get your iPhone 3G working properly again.

You will need your iPhone 3G of course, iTunes, Windows Installer CleanUp Utility, Registry Cleanup Utility, and Windows XP. The quickest fix for your iPhone 3G is to sync it to a different computer. This will cause the computer to recognize it as a new device and install the software on it like it's never been used before.

However, be advised that everything you have on it now will be gone. If you managed to hook up the iPhone to a new computer you can sync it to that computer. It will recognize that it is synced with another computer and ask you if you want to sync it to this one; do so. WARNING! Do not make the mistake of disconnecting your Iphone 3G while syncing is in progress or else you will get stuck in the restore mode again.

If you do not have another computer to sync it with use the iPhone Restore ModeBackup to backup your applications, videos, music, and applications. This is a precautionary measure. Uninstall Quicktime, iTunes, and other Apple component software from your computer. Follow the process listed on the Apple Support page, Removing Quicktime, iTunes, and other software components for Windows XP. The link is available in the resources section. Restart your computer when done. To make sure everything is completely uninstalled run the Windows Installer CleanUp Utility. Restart your computer. If you have a registry cleanup utility run the program and restart your computer.

Install the latest version of iTunes. Restart your computer. Open iTunes and connect your iPhone 3G. Once iTunes recognizes your phone it will prompt you to download the latest iPhone software. Follow the installation instructions in the Apple iPhone Software Update page. WARNING! Rule 504, which provides an exemption for non-reporting companies unless they are "blank check" issuers or certain "shells", stipulates that: The sale of up to $1,000,000 of securities in a 12-month period is permitted provided that there is no general solicitation, the securities sold are restricted securities and cannot be resold except pursuant to a registration statement or exemption, and a notice must be filed with the SEC within 15 days after the first sale. Rule 504 does not provide an exemption under any state laws. In certain limited circumstances where an offering is conducted under state accredited investor exemptions, securities offered under Rule 504 may be freely transferrable. Unlike Rules 505 and 506, Rule 504 does not mandate that specified disclosure be provided to purchasers. Nonetheless, the business person should take care that sufficient information is provided to meet the full disclosure obligations which exist under the antifraud provisions of the securities laws.

Rule 505 was adopted by the SEC to provide small businesses more flexibility in raising capital than under Rule 504 - but without the uncertainty of determining the quality of the purchasers that generally is involved in using Rule 506. Rule 505 provides issuers a limited offering exemption for sales of securities totaling up to $5 million in any 12-month period.

Rule 505 contains certain restrictions regarding "accredited investors" and non-accredited persons. The-term "accredited investor" includes:

Banks, insurance companies, registered investment companies, business development companies, or small business investment companies; Certain employee benefit plans for which investment decisions are made by a bank, insurance company, or registered investment adviser; Any employee benefit plan (Within the meaning of Title I of the Employee Retirement Income Security Act) with total assets in excess of $5 million; Charitable organizations, corporations or partnerships with assets in excess of $5 million; Directors, executive officers, and general partners of the issuer; Any entity in which all the equity owners are accredited investors; Natural persons with a net worth of at least $1 million; Any natural person with an income in excess of $200,000 in each of the two most recent years or joint income with a spouse in excess of $300,000 for those years and a reasonable expectation of the same income level in the current year; and Trusts with assets of at least $5 million, not formed to acquire the securities offered, and whose purchases are directed by a sophisticated person.

If the issuer sells any securities to non-accredited investors, it must furnish to all investors the same type of information as required by Regulation A. It must also furnish audited financial statements.

If an issuer other than a limited partnership cannot obtain audited financial statements without unreasonable effort or expense, only the issuer's balance sheet (to be dated within 120 days of the start of the offering) must be audited.

Limited partnerships unable to obtain required financial statements without unreasonable effort or expense may furnish financial statements prepared on the basis of federal income tax requirements and examined and reported on by an independent public or certified accountant in accordance with generally accepted auditing standards; and The issuer must also be available to answer questions by prospective purchasers about the issuer or the offering.

Further restrictions under Rule 505 include:

The total offering price of each issue of securities may not exceed $5 million. The offering may not be made by means of general solicitation or general advertising. The issuer may sell the securities to an unlimited number of "accredited investors" and to 35 non-accredited persons. There are no requirements of "sophistication" or "wealth" for persons to whom the securities are sold. A company must take any necessary steps to ensure that the purchasers are acquiring securities for investment only, not for resale. The securities are thus "restricted" and investors must be informed that they may not be able to sell except pursuant to a registration statement or exemption from registration. The issuer is not required to file any offering materials with the Commission. Fifteen days after the first sale in the offering, the issuer must file a notice of sales on Form D. The notice also contains an undertaking under this Rule for the issuer to furnish the Commission, upon its staff s request, any information given to non-accredited purchasers in connection with the offering. Rule 505 does not provide an exemption from state securities laws.

SEC Rule 506 offers and sales of securities by an issuer that satisfy the conditions stated below are deemed transactions not involving any public offering within the meaning of Section 4(2) of the Securities Act. For an offering to be considered exempt from the registration requirements, Rule 506 stipulates: There is no ceiling on the amount of money which may be raised. No general solicitation or general advertising is permitted. The issuer may sell its securities to an unlimited number of accredited investors and 35 non accredited purchasers. Unlike Rule 505, all non-accredited purchasers (either alone or with a purchaser representative) must be sophisticated - that is, have sufficient knowledge and experience in financial and business matters to render them capable of evaluating the merits and risks of the prospective investment. The term "accredited investor" is defined under Rule 505.

If the issuer sells any securities to non-accredited investors, it must furnish to all investors the same type of information as required by Regulation A. It must also furnish the same financial information as would be required by registration on Form S-1.

If the issuer cannot obtain audited financial statements without unreasonable effort or expense, then financial statements may be provided in accordance with the special treatment described under Rule 505.

The securities sold are "restricted" under the same stipulations in Rule 505.

A company is required to file a notice of the offering on Form D at SEC headquarters within 15 days after the first sale in the offering. All states except New York provide an exemption from state securities laws for offerings under Rule 506 but the company must file a copy of the Form D and pay a filing fee in each state. New York has a distinctive law which makes a Rule 506 offering within that state impractical.

Accredited Investor Exemption

The Small Business Investment Incentive Act of 1980 created a new statutory exemption from registration under the Securities Act for transactions involving offers and sales of securities by any issuer solely to one or more "accredited investors." Under Section 4(6):

The total offering price of each issue of securities under the exemption may not exceed the limit on small offerings set by Section 3(b) the Securities Act, which currently is $5 million per issue. The offering may not be made by means of any form of advertising or public solicitation.

The term "accredited investor" is defined to include the same individuals and entities as included for purposes of Rules 505 and 506. The issuer is required to file a notice of sales on Form D with the Commission 15 days after the initial sale is made in reliance on the exemption. - 16970

It seems as though record companies have developed a new game plan in order to collect royalties. As we all know, the music industry attempted to sue individual users who illegally downloaded songs. But because of this approach to recover from major fiscal loss has destroyed their public image.

Rather than lowering the cost of albums in order to compete with free music circulating through the internet, record companies have turned to collection agencies who are now suing cellphone companies over royalties from ring tones. They contested that ring tones counted as public performances and therefore cell phone companies should be obligated to pay performance fees. The courts quickly shot this down.

Despite this unfruitful endeavour to collect on royalties, Broadcast Music Inc is now suing T-Mobile over ring back tones, alleging that the mobile carrier is selling them without licensing agreements. Unlike ring tones, which play publically when someone calls, ring back tones are only heard specifically by the person calling. Instead of hearing a cellphone dialing, the caller will hear a song that was chosen by the cell owner.

Music lovers are quick to point out the contradictory nature of this lawsuit. If ringtones that can be heard by anyone around a cellphone that is being called, do not equate to a public performance, it seems absurd to sue the mobile carriers over a ringback tone that can be heard only by the caller. Record companies seem to be grasping at straws as they suffer from huge financial losses.

Green Energy Power, Industrial Strength

Today's energy conscious climate has motivated many to do what they can to become more efficient and conserve energy and money. Unfortunately this same climate has prompted others to take advantage of unsuspecting consumers' wishes to save energy and reduce expenses.

Companies that tout power factor improvement (kVAR correction) and transient voltage suppression are a good example of this bad trend. Lately we are seeing more and more of these companies cropping up and feel it is time to set the record straight.

First, transient voltage surge suppression (TVSS) plays a valuable role in improving power quality to protect sensitive equipment inside a facility. However, TVSS does not save energy. TVSS's are only active a tiny fraction of a second to protect against voltage surges which only last for less than a millisecond. To actually reduce energy consumption the TVSS would need to actually cut power consumption for an extended period of time which is not what they are designed to do. Again, TVSS is important to protect sensitive electrical equipment but buyers should avoid vendors promising, or even guaranteeing, that they will reduce energy consumption.

Now what about vendors who claim that improving power factor will save 15% or 20% or 30% of energy consumption and corresponding cost? This one is a little trickier.

For residential applications, power factor does nothing to save energy because the typical home already has an average power factor of about 0.97 which is almost the perfect power factor of 1 or unity. In addition, the device (called a capacitor) is placed at the main circuit breaker. According to IEEE 5.5.3.3 capacitors must be situated at or near the respective inductive loads to reduce power system losses by reducing heat and distribution losses known as I2R losses.

So what about commercial and industrial facilities using power factor correction to reduce energy costs? It is perfectly appropriate for a company that is incurring penalties or a kVA billing structure from the utility company to improve the facility's overall power factor by employing a capacitor bank at the main service entrance or individual capacitors at or near the respective motor loads. Doing so will eliminate the power factor penalties and/or reduce the kVA demand charges on the utility bill which can save significant money and provide a significant ROI on the investment.

But what about power factor correction reducing kWh consumption? IEEE also tells us that I2R losses only account for 2 to 5% of the total load in a facility. Simple math tells us that it would be against the laws of physics to get the 15% to 30% energy reduction claimed by some vendors. Think about it. Even if your facility had 5% distribution losses and you could correct 100% of the problem via power factor correction at every load (which can't be done) you would still only save 5% at the most. No where near the claims of some capacitor vendors and manufacturers.

All that said, power factor correction when done properly will eliminate utility penalties and kVA demand charges, improve facility power quality, increase electrical system capacity, and save a little energy when applied to the appropriate motor loads.

So make an investment in transient voltage surge suppression and power factor correction when appropriate and necessary. But caveat emptor! - 16970

Buyer Beware - Using Power Factor Correction and Transient Voltage Surge Suppression to Reduce Energy Costs.

Today's energy conscious climate has motivated many to do what they can to become more efficient and conserve energy and money. Unfortunately this same climate has prompted others to take advantage of unsuspecting consumers' wishes to save energy and reduce expenses.

Companies that tout power factor improvement (kVAR correction) and transient voltage suppression are a good example of this bad trend. Lately we are seeing more and more of these companies cropping up and feel it is time to set the record straight.

First, transient voltage surge suppression (TVSS) plays a valuable role in improving power quality to protect sensitive equipment inside a facility. However, TVSS does not save energy. TVSS's are only active a tiny fraction of a second to protect against voltage surges which only last for less than a millisecond. To actually reduce energy consumption the TVSS would need to actually cut power consumption for an extended period of time which is not what they are designed to do. Again, TVSS is important to protect sensitive electrical equipment but buyers should avoid vendors promising, or even guaranteeing, that they will reduce energy consumption.

Now what about vendors who claim that improving power factor will save 15% or 20% or 30% of energy consumption and corresponding cost? This one is a little trickier.

For residential applications, power factor does nothing to save energy because the typical home already has an average power factor of about 0.97 which is almost the perfect power factor of 1 or unity. In addition, the device (called a capacitor) is placed at the main circuit breaker. According to IEEE 5.5.3.3 capacitors must be situated at or near the respective inductive loads to reduce power system losses by reducing heat and distribution losses known as I2R losses.

So what about commercial and industrial facilities using power factor correction to reduce energy costs? It is perfectly appropriate for a company that is incurring penalties or a kVA billing structure from the utility company to improve the facility's overall power factor by employing a capacitor bank at the main service entrance or individual capacitors at or near the respective motor loads. Doing so will eliminate the power factor penalties and/or reduce the kVA demand charges on the utility bill which can save significant money and provide a significant ROI on the investment.

But what about power factor correction reducing kWh consumption? IEEE also tells us that I2R losses only account for 2 to 5% of the total load in a facility. Simple math tells us that it would be against the laws of physics to get the 15% to 30% energy reduction claimed by some vendors. Think about it. Even if your facility had 5% distribution losses and you could correct 100% of the problem via power factor correction at every load (which can't be done) you would still only save 5% at the most. No where near the claims of some capacitor vendors and manufacturers.

All that said, power factor correction when done properly will eliminate utility penalties and kVA demand charges, improve facility power quality, increase electrical system capacity, and save a little energy when applied to the appropriate motor loads.

So make an investment in transient voltage surge suppression and power factor correction when appropriate and necessary. But caveat emptor! - 16970

I have been active in the Motorcycle Community for many years. I've stood up for Biker's Rights. As a freelance writer, I've written about Clubs, the Community, and the Brotherhood of the Biker World. I've also been involved in many Biker related events either as a DJ or MC.

For as long as I can remember, I've wanted to combine all of this into a Biker Style Radio Show. A show where I could present and discuss topics that are important to Bikers as well as educate the outside world about the Biker Lifestyle and what it means to be a part of the Biker Community.

I knew it was going to be tough. I spoke with some local radio stations about my idea but, they either wanted a lot of money or they weren't interested. They claim that the "Biker Market" is a niche market and Radio Stations want shows that appeal to everyone.

In the summer of 2008, a guy from Florida called the Paisan, sent me an email stating he had read some of my articles and would like to interview me on his internet radio show, Sunday's Sauce Pot. I gave him a call and after speaking to him, I agreed to be on the show.

I did the show with Paisan and his partner Danny Dawg. It was an unforgettable show and I had a great time. I kept in touch with them and we soon became friends. I told them how I had been thinking about doing my own show. They were only too happy to explain to me how I could have my own internet radio show.

Since the show would be broadcast over the internet, I was a little skeptical. After doing some research, I realized that Internet Radio is an up and coming medium. Even now, some radio manufactures are making radios devoted to broadcasting Internet Radio.

I quickly realized that Internet Radio is more suited to what I wanted to present than traditional Radio due to the fact that I could broadcast my show to all over the world instead of being limited like I would be if I broadcast out of a local station.

The other thing that appealed to me was the fact that people could listen to my show any time they wanted to. Bikers like to travel. With Internet Radio, it doesn't matter where you are as long as you have access to an Internet Radio or Computer and WI-FI or broadband, you can catch the show. The fact that you didn't need a lot of money to start up was also very appealing. With a little help from my friends, I went to work. Finally, after 10 years of dreaming, I was On the Air. The Biker Lowdown Show was born.

The road to success was a little bumpy at first. With the addition of Chuck (Alphabiker.com) as my co-host, the road got a little smoother. With both of us researching information, we are able to share much more with our ever increasing audience. The addition of a website to compliment the show adds to the experience. The hard work of my webmaster Bjorn has resulted in a website that offers Articles, Video's, a Motorcycle Forum, and more.

I am sometimes amazed by the success of the show. Our Audience continues to increase each week. The Biker Lowdown Chat Room gets busier each week, letting listeners know they are really part of the show. Although we've come a long way, we're still working hard at making the show even more entertaining and informative for all those who ride or dream of riding. We plan on hitting the road so that we can meet and talk with people and reward our listeners with T-Shirts, Bumper Stickers, and more.

Green screen Hollywood technology, a. K. A chroma key is a system employed by filmmakers to mix two separate photographs together. The touchscreen user interface is limited in functionality, with some functionality available only through the keypad, but what it does, it does well.

What is bizarre is that while the Aino has a touchscreen, it only works in media mode, meaning we wouldn't have known it was there unless we were told. It's easy to imaging a number of people poking their phone normally to no avail and then being perplexed when the touchscreen fires up in media mode.
